There is misinformation in the excerpt you have provided from the forum. In 2020, Troilus stock appreciated 91% while the S&P/TSX Global Gold Index appreciated by 21% - I think you will agree this is more than a “slight” outperformance. Management compensation is paid annually based on Key Performance Indicators (KPIs) that are established by the CEO and the Board of Directors. In 2020, management more than achieved most KPIs set for the year – share performance, raising new capital, attracting new investors, significant expansion of the mineral resource estimate, an entirely new discovery at the Southwest Zone, establishment of an ESG framework and winning an award for sustainable development, publishing a PEA that demonstrates the economic viability of the project with a positive NPV and excellent IRR, massive expansion of the claims area and identification of multiple new promising finds on the property through an intensive summer field work program – most of this achieved while working around the restrictions we face due to the COVID 19 pandemic. At the beginning of the year the company had a market capitalization of $45 million and by the end it was $159 million – so $118 million of value was created for shareholders in the space of 12 months.
This past year, the Compensation Committee did a full review with external consultants regarding management compensation levels to ensure that the compensation paid at Troilus is in line with peers in the sector. I will point out that Troilus is not an early stage exploration company with a few guys prospecting in the bush. This is a growing operation – we have lots of people working on site, a great deal of activity advancing geology and engineering and senior management is fully engaged & committed.
Troilus no longer has a stock option plan so there are no “lavish” stock options being granted. Troilus does issue employees Restricted Share Units (RSU) which are taxable as income. So for example, the CFO’s take home salary is actually C$175,200 and a C$38,000 bonus. In 2020 the CFO also received Share-based awards valued at $180,000 – this represents the RSU grant for the year so they are shares in Troilus, not cash. They are issued on a schedule to vest over time and as various milestones are achieved. The information regarding management compensation is clearly described in the Management Information Circular which is available on our website and on www.sedar.com and you will find it is far more accurate than partial or incorrect information posted on a chat forum. The shareholders have to approve the RSU plan and it was recently renewed at the AGM in December with shareholders voting overwhelmingly in favour. I’ll also note that management and directors own ~10% of the outstanding shares of the company and buy more whenever the blackout is lifted in addition to any RSUs granted.
In the last 3 months we have raised $22 million, bought back a royalty in a highly accretive move for shareholders, put out more positive drill results from the Southwest Zone and the share price is down 9 cents. We know that some investors will want to take their gains from the past year off the table, but we have a longer term view. We remain on track to continue to deliver on our development plans and expect this will continue to be reflected in share price appreciation in 2021.
I hope this helps address your concerns. ..."
