    Hallo Simona

    Silver Hedge of the Decade?

    Silverfox Analysis/321 Gold

    Nov 21, 2006

In the summer of 2002 Newmont opened a data room to sell its Calcatreu gold deposit in Patagonia. IMA Exploration (IMR) and Aquiline Resources (AQI) were two parties which looked into buying Calcatreu. One of them, IMA, obtained regional exploration data not given to other prospective purchaser AQI been collated with a view to expanding Calcatreu.

This data revealed a massive silver anomaly 40 kilometres from Calcatreu. Newmont had not proceeded on the data as silver had been of secondary interest and, following the merger with Normandy, at the time Newmont was focusing attention away from Argentina (literally, "land of silver").

Despite a confidentiality agreement forbidding bidders from using confidential data other than for the purposes of evaluating Calcatreu, IMA went ahead and staked the silver deposit, which it called Navidad.

Shortly thereafter, Aquiline Resources concluded the purchase of Calcatreu, including the regional data, and queried IMA's staking of Navidad.

Litigation ensued, and in July 2006 Aquiline won a constructive trust over 100% of Navidad in the Supreme Court of British Columbia. IMA appealed, and the appeal is due to be heard from April 10th-12th 2007.

Navidad is a measured and indicated 300+ million ounce silver deposit. Prior to the judgment in July, drilling was disrupted by the court case, although Aquiline has recently raised significant funds to resume drilling under the terms of a trust agreement with IMA.

It is thought that the Navidad area could contain significantly more silver than the current resource calculation; potentially up to a billion ounces.
In any event, it is one of the if not the, world's premier pure silver exploration deposits. There are only a few silver mining companies in the world with silver resources greater than Navidad's current resource estimate. Whoever holds Navidad will be a major takeover target.

The court case hinged on the definition of confidential information and the context in which IMA received it.

The judgment was fairly unequivocal in favour of Aquiline Resources.
    It is available at http://www.aquiline.com.
The effect of the judgment was to send IMA's shares plummeting towards book value (current share price is CDN 57c), and Aquiline's shares up beyond CDN $5. 8o

Whichever way the case turns (Aquiline will be hoping that the appeal is denied and further appeal refused), what is true is that currently for around CDN $7 you can match up an equal number of shares in both companies to secure a hedged stake in Navidad's 300+ million ounces.

If the appeal court judgment following April 12th does not immediate conclude the matter then the resumption of drilling and silver price increases hopefully should keep investors entertained :D until it is resolved.

As to Navidad's correct valuation, comparisons are inexact in terms of grade and size, but it has been spoken of in the same breath as Apex Silver and Western Silver, and certainly appears to match up to Bear Creek Mining's silver deposit.

The best case scenario for Aquiline Resources is an appeal court judgment following April 12th which upholds the view of the judge at first instance and refuses IMA leave to further appeal a case twice lost.

If this transpires, it would not be unreasonable to expect Aquiline's share price immediately to substantially appreciate. If the decision is not definitive then hopefully Navidad will continue to be explored in advance of the final judgment.

What is undeniably true is that the market capitalisation of a company holding Navidad outright ought to be some way greater than Aquiline and IMA's current combined market capitalisations.

The post-judgment trust agreement between Aquiline and IMA forbids the parties from soliciting takeover bids.

It is in one sense surprising that no major has yet thought to launch a conditional bid for both companies, which if successful would automatically eliminate the reason for the discount implicit in the combined capitalisation.

It is worth mentioning that there are some anti-mining issues in Chubut province where Navidad is located, which should be thoroughly researched by anyone with an interest in the story.

In the latest instalment IMA issued a press release on July 7th 2006 indicating that a recent piece of anti-mining legislation affected a separate part of the province, some 150 km west of the Navidad property.

Is such an amount of silver on offer at such a price anywhere else?

Is it the hedge of the decade to take an equal position now in shares of both Aquiline Resources and IMA Exploration?

    Maybe so, maybe not.

But it's an interesting story to consider as silver breaks upwards out of its recent price triangle.
    -----------------------------------------------------------------------------------------

    GOLD FIELDS LIMITED
    AND
    SINO GOLD LIMITED

GOLD FIELDS AND SINO GOLD JOIN FORCES TO GROW IN CHINA =)

Sydney and Johannesburg, 22 November 2006:

Sino Gold Limited (Sino Gold) (ASX:
SGX) and Gold Fields Limited (Gold Fields) (NYSE, JSE, DIFX: GFI) are pleased to
announce the formation of a major new strategic alliance, combining Sino Gold"s
proven and recognised operational, development and business capabilities in
China with the technical, financial and human resources expertise of Gold
Fields, the world"s fourth largest gold company.

    The strategic alliance will:

    - Introduce Gold Fields as the largest shareholder in Sino Gold through the
placement of 6.5 million ordinary shares, at a price of $5.58 per share,
taking Gold Fields" total shareholding in Sino Gold to 27,708,020 million
    shares or 17.4% of the company"s expanded total issued share capital;
    - Create a dedicated new, 50:50 jointly owned and funded, group to target and
explore China for projects that meet Gold Fields" benchmark "rule of fives"
criteria: resources of at least 5,000,000 ounces of gold and production
    capacity of approximately 500,000 ounces of gold per annum;
    - Integrate Gold Fields" existing exploration assets and personnel in China
into Sino Gold which, in terms of the strategic alliance, will in future
conduct all of Gold Fields" exploration activity in China; and
    - Provide Sino Gold access to the technical expertise and training programs
    of Gold Fields.

Ian Cockerill, chief executive officer of Gold Fields, said:

"This strategic alliance represents the next logical step in the developing
relationship between Gold Fields and Sino Gold, our long standing partner in
China. It provides Gold Fields with the ability to strengthen and accelerate its
exploration efforts for large, high quality, long life assets in a highly
    prospective region of the world."
"China is a key strategic region for Gold Fields and combining our technical,
financial and human resources expertise with Sino Gold"s proven commercial and
operational track record in China, will create a stronger partnership to deliver
on our mutual exploration and development objectives," added Cockerill.
The strategic alliance will explore primarily for porphyry, high-sulphidation
epithermal or sediment-hosted disseminated orogenic style gold mineralisation.
These styles of mineralisation are not currently the focus of Sino Gold"s
    exploration program in China.
Jake Klein, chief executive officer of Sino Gold, said: "We are very pleased
that a company of Gold Fields" calibre has chosen Sino Gold as its exploration
and development vehicle in China. The combination of Gold Fields, the world"s
4th largest gold producer, and Sino Gold, the largest foreign gold producer in
China, is both compelling and powerful. The exploration focus introduced through
this alliance is a significant addition to, and separate from, Sino Gold"s
    current exploration program."
"This strategic alliance will provide additional funding and expertise to
further accelerate our exploration in order to discover and develop multi-
million ounce deposits in China, in styles of deposits that Sino Gold has to
date not been targeting. The structure of the alliance provides the shareholders
of both companies with a very powerful vehicle to participate in the discovery
of world-class gold deposits in China," said Klein.
Klein continued: "This strategic alliance, combined with Sino Gold"s upcoming
secondary listing on the Hong Kong Stock Exchange, will provide the ideal
platform to grow and develop Sino Gold into China"s leading gold company."
The companies have signed a binding Heads of Agreement, the key terms of which
    are the following:
    - A new entity will be formed which will be equally funded by both parties.
This is to be a wholly separate entity from Sino Gold"s other business
    development teams in China;
    - All of China is included, except for Sino Gold"s projects around the
    Laizhishan Dome area near Jinfeng and White Mountain;
    - The exploration undertaken by the new entity will be managed by Sino Gold;
Gold Fields will manage the development and operation of any new projects
resulting from the alliance that meet the agreed Gold Fields benchmark
    criteria;
    - Sino Gold has the right to properties which do not meet the criteria
    referred to above; and
    - Processes to facilitate technical co-operation have been defined, such as
the exchange of technical information and personnel.
As part of this strategic alliance, the parties have agreed that:
    - Subject to the approval of the Foreign Investment Review Board (FIRB) of
Australia, Sino Gold will place 6.5 million shares at a 7.5% premium to its
10 Day VWAP share price with Gold Fields, increasing Gold Fields" ownership
    of Sino Gold from 13.9% to 17.4%;
    - Gold Fields will nominate a director to the Sino Gold board;

    - Subject to any regulatory approvals required, Gold Fields will be
entitled to pro-rata participation in future Sino Gold equity issues, so
that Gold Fields" holding in the Company is not diluted; and
    - Gold Fields" will transfer all of its existing assets and joint ventures in
China into the new entity for an amount to be agreed.

    Have a nice day :]

GFI hat nun 34.7% Anteile von Western Area.

Shareholders are referred to the announcements on 11 September 2006 and 27
October 2006 in terms of which shareholders were informed of:
    1) the agreement with JCI Limited and its subsidiaries (collectively
"JCI") in terms of which Gold Fields will acquire 27 million Western
Areas shares owned by JCI which would result in Gold Fields owning 34.7% of the issued share capital of Western Areas ("the JCI
    Transaction").

In addition, JCI has granted Gold Fields a call option
and JCI has been granted a put option in respect of the balance of a
further 9.96 million Western Areas shares held by JCI for a 90-day
period after implementation of the JCI Transaction. Should the call or
put options be exercised by either party, Gold Fields" interest in
Western Areas would increase to approximately 41% of the issued share
    capital of Western Areas.
    2) Gold Fields" intention to acquire the entire issued share capital of
Western Areas Limited (other than those shares already owned by Gold
Fields and JCI) by way of a general offer in terms of section 440 et
seq of the Companies Act ("the Offer"); and
    3) the agreement with Barrick Gold Corporation ("Barrick") to purchase,
through the acquisition of a subsidiary company of Barrick, its 50%
interest in South Deep Gold Mine ("South Deep") ("the Barrick
    Transaction").
The JCI Transaction was subject to the approval of shareholders in
general meeting. The meeting of shareholders was held on Tuesday 14
November 2006 and the requisite approval was obtained. The
consideration payable to JCI was settled on Thursday 16 November 2006.
The only remaining condition precedent for the implementation of the
Offer and the Barrick Transaction is approval of the Competition
Tribunal. Shareholders are now advised that the Competition Tribunal
has today approved the Offer and the Barrick Transaction and that all
the conditions precedent to the implementation of the transactions
    have now been fulfilled.
Acceptance and Settlement of the Offer
Western Areas shareholders can accept the Offer by tendering their
Western Areas shares with their respective CSDP as set out in the
Offer document posted to shareholders on 30 October 2006.
Shareholders who have already accepted the Offer will be settled
within 5 business days of the date of this announcement. Those
shareholders who still wish to accept the Offer will be settled within
5 business days of acceptance of the Offer. The Offer will remain
open until the closing date, which date will be announced by Gold
Fields on SENS and published in the press, together with the final
    salient dates and times.

    Guten Morgen zusammen
