Thanks, I saw what David Bond wrote. He certainly is entitled to his opinion and he has told me personally that his only interest in this is to see the Sunshine return to its former glory. While I don't think his tactics are very helpful in that regard, his stuff is certainly entertaining to read. Of course there will be some resolution to the issues but without making a stink you'll never get the other party to the table.

There are several alternatives as to how to maximize the value of the Sunshine and Sterling, but it is not the status quo. Issuance of new shares per se is not the problem, it is the lack of accountability for those shares. Many people are shocked to find out Sterling has 20 million shares when they only had 5 million a little over two years ago. The SEC registration along with a professional mine plan should have been first on the agenda. Sterling does need some room to operate and because of what happened in the past they do need more shares, but my point is the shareholders should keep the company on a short lease and authorize only as many shares as can be justified for specific purposes until the next annual meeting. The problem is, Sterling is likely already over 20 million shares so they desperately need shareholder approval to validate their misdeeds before they can move on. I have attached the proxy material, sorry for the poor scan but for some reason the originals are not that much better.

ich habe eben mit Ray DeMotte gesprochen. Es gibt interessante Neuigkeiten.

Erstens: Die Abschlüsse von 2003 und 04 sind fertig und können bei Jim Meeks angefordert werden. 2005 ist fertig bis Juni. Auf der Webseite von SavetheSunshine steht, daß jemand aus dem Vorstand zurückgetreten wäre. Das stimmt nicht. Weiterhin steht dort, daß es keinen Produktionsplan gäbe. Das stimmt nicht, ist auf der Seite und im Powerpoint. Wer unsicher über sein Abstimmungsverhalten ist, sollte auch mit Sterling, i.e. De Motte sprechen (208) 666 4070. Ray sagte, daß der Kläger Sterling für die MIne 25.000 Dollar geboten hätten plus 36% Royalty, soweit ich das am Telefon richtig verstanden habe. Sorry, aber würdet Ihr das annehmen?

Das Telefonat war sehr angenehm. Er ist gern bereit, mit allen Aktionären zu sprechen und Fragen zu beantworten.

Es gibt nur ein Ja oder Nein bei zwei Punkten bei der Abstimmung am 21.Dezember.

Leider kann man zu Punkt zwei der Firma nicht vorschreiben in welchen Tranchen die Aktien auf den Markt kommen ebenso nicht zu welchen Preis man diese anbietet.

Stimmt man mit Ja kann hat die Firma freie Hand und koennte dadurch den Aktienkurs noch mehr runter fahren als er schon ist.

Ein Ja ist eine Sache des Vertrauens in Ray De Motte.

Also mir wuerde es stinken wenn irgend ein Hedgefund die Private Placements fuer 2.20 USD bekommt und uns dann spaeter eine auf die Ohren haut wenn die Kasse klingelt und verkauft die Aktien wieder auf den Markt.
Da koennen sich ein paar Leute die Haende reiben und das ist mir eben zu gefaehrlich so ein Buddy to Buddy deal ist moeglich.

Ich stimme deshalb ein Nein zu Punkt 2 der Agenda.

"Trash the sunshine"
Immer gut beide Seiten zu hören.

I would like to address something that David Bond has incorrectly posted about yours truly and friends in his November 21 piece titled Trashing the Sunshine Mine. First of all, this is not about trashing the Sunshine Mine. Our purpose has been clearly stated as maximizing the value of the Sunshine, which is exactly the opposite of trashing it. Sterling happens to be in a position to not maximize the value for some unknown reason, to the detriment of shareholders, including us, so we decided to do something about it. Because of the amount of money that has already been lost and could potentially be lost, the decision was easy and necessary.

The gist of Mr. Bond’s article is that "lust and greed” have once again threatened the viability of America’s greatest silver mine, that “outsiders” are once again trying to steal the Sunshine from the honest local people who deserve and know how best to run it. My first answer to that is romance and fantasy belong in a good novel, not in a board room,where actions speak much louder than words.

My second answer is, let the record speak for itself. We know that Ray De Motte is building a local empire as a testament to his ego, buying up real estate, managing businesses as diverse as a taxi service and a hotel (in his spare time), and leading his own silver revolution. We know this has prevented De Motte from spending the necessary time on Sterling and the Sunshine, which has resulted in a revolt by major early shareholders and the massive selling of the stock that continues today. We also know that De Motte is making classic mistakes such as losing focus by messing around in Latin America and making plans based on the anticipated silver price (things Mr. Bond himself has pointed out as the fatal flaws of the most recent operator of the Sunshine). De Motte is the one acting just like every other previous operator of the Sunshine, not us.

So what about us? Mr. Bond refers to a “failed accountant” and a “failed banker” in his piece. I suppose the “failed accountant” must be referring to me. So let’s look at my track record. I was employed as a financial auditor at Deloitte & Touche in Northern California between August 1992 and December 1999, advancing to the position of manager. While I was probably in the middle of the pack in overall performance, I was very highly rated for technical and accounting skills. I was told that I would advance to be a partner based solely on my ability to decipher and understand complex accounting and financial transactions.

At the end of 1999, there was a lot of pressure for accounting firms to sell consulting services to clients and I saw this as a bad trend that would eventually compromise the quality of audits (a couple of years later, the Enron scandal erupted and destroyed Arthur Andersen, at the time the most respected of the 5 big accounting firms).

So I left public accounting and joined At Home Corporation, one of the wildest and most interesting Silicon Valley companies at the time. At Home had what looked to be a lock on a huge, lucrative market as a broadband internet service provider. It had made some dumb decisions by merging with Excite.com and purchasing an online greeting card company, but at the end of 1999 you could do no wrong and the future looked bright. Three months later, the dot.bomb exploded. The company, which in reality had some very unattractive agreements with its partners, struggled for a while and finally succumbed to bankruptcy in September 2001. From over 3,500 employees, it eventually pared down its staff during the next 4 years to three part-time consultants, one of them being me. Of course everyone wanted to stay as long as possible since the Silicon Valley job market was (and in many respects is still) abysmal. But cost considerations meant that only those with the greatest level of overall financial and business expertise could remain until the end. The result: the At Home bankruptcy is one of the most successful multi-billion dollar bankruptcies on record in terms of recoveries for creditors, with a 91% payout so far to unsecured creditors after prevailing in lawsuits and settlements to the tune of hundreds of millions of dollars.

I don’t think the above work experience could be described as “failed” although I did work for a company that went bankrupt. Also, perhaps “failed” is a reference to the fact that I am eligible for a CPA license in the state of California but have elected not to obtain the CPA designation until it becomes necessary for future work that I might do. My reason is simply that I currently don’t get a benefit from dangling the letters "CPA” after my name because I would then be required to pay an annual fee, complete a bunch of paperwork and spend time studying accounting every year. I am not one of those people who needs some initials after his name to feel self-important but I do understand that some people would question a “choice” not to be a license-toting CPA. But as long as I don’t hold myself out to be one (it is only technically required if you are an independent accountant who signs audit reports or you professionally represent clients in matters involving the IRS or SEC), it is my business.

Now what about the “failed banker"? Just in case it is a reference to my partner J.D. Christianson, let’s take a quick look at his record as a “banker". Despite shift work at a paper mill for over 30 years, J.D. has done very well for his family investing in stocks, real estate, precious metals and various businesses. One of these successes was being a supporter and early investor in a thriving community bank, the Bank of Clark County. This guy is an example of how to become successful through hard work, dedication and conviction.

Or maybe the “failed banker” is William Dire, who until crossing paths with De Motte’s empire, had an examplary career serving the Silver Valley’s banking and financial needs. De Motte eventually had him selling books door to door, an indignity that Bill refused to endure. This is a man with four closely-typed pages listing his service to the community and involvement in business, local government and charitable organizations. Someone who has spent his entire life in the Silver Valley, who knows the place like the back of his hand and who people trust. De Motte is more of a “failed banker” than Bill Dire could ever be.

The only other thing worth mentioning about Bond’s piece is that before any lawsuits were filed and before this website was launched, Sterling already had a sub-$2.50 stock price. This is before the special meeting was announced. Not surprisingly, the stock wasn’t doing cartwheels after that. A study of a company whose management asks for an increase in share authorization is a study of a declining share price. It can be reassuring to find a convenient scapegoat but the truth eventually prevails.

As far as dilution, we have I believe an excellent record, how many silver companies do you know have under 20 million shares outstanding.
Everyone would agree to keep dilution to a medium, and one of reasons we went into Mexico was to start creating cash flow. By the same token, mining is a long term business, and obviously if we wish to consider get a second project in Mexico moving forward, and having had to add personnel to move the company forward, financing can be required. That is why we are asking shareholders to increase authorized shares.Many shareholders also want us to increase exploration in north Idaho.

This is an interesting business, in 3 years we have (a) acquired control of the Sunshine, advanced a new mine plan, are maintaining it and rehabilitating and exploring (b) our share price has gone from $.25 to $2 (c) we have expanded our land package in Idaho to over 18,000 acres and 14,000 acres in Mexico that we control (d) we are producing silver (e) our market capitalization has gone form $1.5 million to over $33 million.

Any shareholder can phone me any time.

Das ganze ist nun eine Vertrauenssache des Managements und in Ray.

Was ist Eure Meinung, mein Gefuehl sagt mir wenn ich mir die Korrespondenz anschaue mit den Piraten das die ein schmutziges Spiel betreiben und nur einen Hintergedanken haben sich selbst zu bereichern damit. Ich schrieb denen mehrmals zurueck und stellte delicate Fragen, ich warte heut noch auf die Antwort was die machen wolllen..... danach.

Ich habe noch Zeit meine No Stimme auf Ja zu stellen und mich wuerde interessieren wie ihr darueben denkt damit wir richtig abstimmen.

Die Piraten sind mir zu hostile und schmeissen mir zu viel Dreck auf Ray.
Gerade das ist mir schon zu verdaechtig.

Nachdem wir nichts wissen, meine Gefühlslage bzgl. den beiden Parteien ähnelt Deiner, nach dem was Dir die Pirates (nicht) geantwortet haben.
Ein Fremder im wilden westen hats wohl nicht leicht!

Wollte eben auch an Motte mailen, finde SEINE Adresse nicht.
