ich halte VIT höchstens für lauwarm.
Wiederhole mich gerne, es war die Bohrungen mit den höchsten Gehalten im Corteztrend.
Mich stört da nur dass Kinross über Bema 30% hält.
Als Investierter (bin es nicht) würd ich mir noch mal die Cortez Karte vorknöpfen und das Victoria Gebiet mit dem Fund vom januar lokalisieren.

Weiß nicht, ob schon im US Gold Thread.

You are cordially invited to attend a special meeting of shareholders of U.S. Gold Corporation, which we refer to as U.S. Gold, to be held at the Warwick Hotel, 1776 Grant Street, Denver, Colorado 80203 at 2:00 p.m., local time, on March 15, 2007.

At the special meeting, U.S. Gold shareholders will be asked to vote on matters necessary to enable U.S. Gold to acquire three Canadian gold exploration companies, which we refer to collectively as the Target Companies. The Target Companies are White Knight Resources Ltd., which we refer to as White Knight, Nevada Pacific Gold Ltd., which we refer to as Nevada Pacific, and Tone Resources Limited, which we refer to as Tone Resources. We refer to the contemplated acquisitions as the Proposed Acquisitions. Your board of directors believes that the Target Companies are desirable because each of them is exploring in the Cortez Trend in Nevada and owns and operates exploration properties that are adjacent to or near U.S. Gold’s Tonkin Springs property and because the acquisition of any or all of them would result in U.S. Gold having a larger position within the Cortez Trend. In addition, your board of directors believes that combining U.S. Gold’s resources with one or more of the Target Companies would result in a larger exploration program, a stronger combined cash position, reduced costs, an increased marked capitalization enhancing trading liquidity, better market focus and additional technical expertise. The accompanying proxy statement and the documents and information incorporated by reference in the proxy statement contain detailed information and other important information concerning the Proposed Acquisitions.

The Proposed Acquisitions would be undertaken pursuant to three separate offers to purchase all outstanding common shares of each of the Target Companies, in exchange for exchangeable shares of our wholly-owned subsidiary, US Gold Canadian Acquisition Corporation, which we refer to as Canadian Exchange Co., at the following exchange ratios:

• 0.23 of an exchangeable share of Canadian Exchange Co. for each outstanding common share of Nevada Pacific;

• 0.26 of an exchangeable share of Canadian Exchange Co. for each outstanding common share of Tone Resources; and

• 0.35 of an exchangeable share of Canadian Exchange Co. for each outstanding common share of White Knight.

We are effecting the offers to purchase by offering exchangeable shares of Canadian Exchange Co. instead of shares of U.S. Gold because such exchangeable shares may provide a more favorable tax treatment to the Target Company shareholders. The exchangeable shares issued by Canadian Exchange Co. in the Proposed Acquisitions would be exchangeable on a one-for-one basis for shares of U.S. Gold common stock at any time at the option of the holder. We will implement a structure that will give holders of Canadian Exchange Co. the same voting and economic rights as holders of U.S. Gold common stock.

At the special meeting, U.S. Gold shareholders will be asked to:

Proposal 1 — approve an amendment to U.S. Gold’s Articles of Incorporation that removes provisions related to corporate opportunities to allow your board of directors to adopt and maintain an updated corporate opportunity policy;

Proposal 2 — approve amendments to U.S. Gold’s Articles of Incorporation that update the Articles of Incorporation by replacing vague and outdated references to statutory provisions with references to current statutory provisions;

Proposal 3 — approve an amendment to U.S. Gold’s Articles of Incorporation that creates a new class of U.S. Gold stock comprised of one share of preferred stock, designated as Series A Special Voting Preferred Stock, no par value, to be issued in connection with the Proposed Acquisitions and for the purposes further described in the proxy statement;

Proposal 4 — approve the issuance of up to 21,115,593 exchangeable shares of Canadian Exchange Co., and the issuance of an equivalent number of shares of common stock of U.S. Gold upon exchange of such exchangeable shares, in connection with the offer to purchase all of the outstanding common shares of Nevada Pacific;

Proposal 5 — approve the issuance of up to 6,743,825 exchangeable shares of Canadian Exchange Co., and the issuance of an equivalent number of shares of common stock of U.S. Gold upon exchange of such exchangeable shares, in connection with the offer to purchase all of the outstanding common shares of Tone Resources;

Proposal 6 — approve the issuance of up to 23,659,640 exchangeable shares of Canadian Exchange Co., and the issuance of an equivalent number of shares of common stock of U.S. Gold upon exchange of such exchangeable shares, in connection with the offer to purchase all of the outstanding common shares of White Knight; and

Proposal 7 — approve the adjournment or postponement of the special meeting, if necessary or appropriate, to solicit additional proxies if there are insufficient votes at the time of the meeting to approve and adopt any of Proposals 1 through 6.

U.S. Gold shareholders may cast separate votes on each proposal.

Our board of directors has approved the proposed amendments to our Articles of Incorporation. We will restate our Articles of Incorporation to consolidate the amendments that are approved at the meeting and previous amendments. Our board of directors has also approved the issuance of the exchangeable shares of Canadian Exchange Co., the issuance of the U.S. Gold shares of common stock issuable upon exchange of Canadian Exchange Co. shares, and the issuance of Series A Special Voting Preferred Stock of U.S. Gold in connection with the Proposed Acquisitions, and believes that the Proposed Acquisitions are advisable, fair to you and in your best interests.

Accordingly, our board of directors, by unanimous vote of all directors voting, recommends that all U.S. Gold shareholders vote “FOR” Proposals 4, 5 and 6. Mr. Robert R. McEwen, the Chairman of our board of directors, abstained from the vote of the board of directors on Proposals 4, 5 and 6 because of his equity interest in each of the Target Companies. Our board of directors, by unanimous vote, recommends that all U.S. Gold shareholders also vote “FOR” Proposals 1, 2, 3 and 7. A vote against Proposal 3 would have the effect of preventing us from completing the Proposed Acquisitions as currently contemplated. A vote against any of Proposals 4, 5 or 6 would have the effect of preventing us from completing the Proposed Acquisition described in the proposal that is not approved.

Bei den Spitzenfunden auf MC Cove gibt´s Probleme beim Bohren ab 300 Metern. Gleich 28% zurück.
Halte es für übertrieben, gute Gelegenheit in nächster Zeit.

Ich richt mich da nach Hommelberg. Wenn der sagt "kaufsignal" kauf ich nach. Die haben nicht umsonst vor ca. 2 Monaten angrenzend an Mc Cove x- km² Land dazugekauft.
30% gehört nun Kinross (Ex-BEMA), das stört mich.

Ich bin auch am Überlegen, wie und wo im Cortez trend.
Bei UXG müssten mal Meldungen kommen zu den drillings im Kerngebiet Tonkin springs.

Diesbezüglich ist der link, den ich neulich in silver co. reingestellt habe sehr interessant.
Mining life: ist eine super Minipräsentation.

Danach ist UXG im Niemandsland, sollte aber bald wieder rauskommen.

Gryphon, US Gold See More M&A In Nevada's Jr. Gold Sector

VANCOUVER -(Dow Jones)- Nevada, widely viewed as hometown for senior gold miners Barrick Gold Corp. (ABX) and Newmont Mining Corp. (NEM), is also the testing ground for a gaggle of juniors poking and prodding the ground in search of the next big precious metal find.

This elephant-and-mouse landscape includes Gryphon Gold Corp. (GGN.T), one of a number of TSX-listed explorers trying to consolidate the junior end of the gold mining spectrum within the U.S. state.

Why? To one day cobble together a defined and measured resource that's large enough to attract the interest of a Barrick, Newmont or Kinross Gold Corp. (KGC) looking to add inventory, especially as their operations increasingly see excess capacity.

"In Nevada, the majors, like Barrick and Newmont, are mining their reserves faster than they are replacing it," said Gryphon President and Chief Executive Tony Ker. "A lot of the juniors in Nevada are looking to be the company that can provide these majors with their exploration targets."

Rob McEwen - the founder of GoldCorp Inc. (GG) who now heads up U.S. Gold Corp. (USGL) - agrees.

"Nevada is a prolific area, but people still aren't focused on it; we should be consolidating land packages there, because when the dust settles the seniors are going to own a large piece of (the state)," he said. "The whole industry is going into fewer and fewer hands; you're just seeing what's occurring at a higher level happening at the lower levels so that (a junior's portfolio) becomes a more meaningful package."

Nevada-centric U.S. Gold recently finalized the acquisition of three key junior Nevada gold plays: White Knight Resources, Nevada Pacific Gold and Tone Resources.

"We'll continue keeping our eyes peeled for opportunities beyond where we are, " McEwen said. "I want to continue to be in the exploration phase (of the gold production cycle) because that's where the greatest value creation occurs."

So, be it Nevada's Walker Lane, Battle Mountain, Cortez or Carlin trends, it doesn't really matter - the state is awash in gold. In 2005, Nevada accounted for 83% of U.S. gold production - and 9% of global production. At the time, only South Africa, Australia and China rivaled the state in terms of overall production. And the current appetite for all things gold has only fueled speculative activity.

In Gryphon's case, privately-held Nevada Eagle LLC is its latest consolidation target, a US$12 million cash-and-shares deal for 54 prospective gold properties, the bulk of them along Nevada's Walker Lane gold trend. Past operators of these claims - who have drilled hundreds of holes - have reported more than 900,000 non-NI43-101 ounces in the ground, Ker said.

"With this acquisition, we will be in a really good position to have a strong option on gold (assets) in Nevada," he said. "We want to develop these properties to the point where a major can take them over."

Gryphon will now look at its newfound package of properties and decide which ones will be kept, which will be jettisoned and which might be better served in a joint venture deal. At the moment, 20 of the properties are already leased out to other operators, generating $700,000 in cash flow, Ker said.

"These operators have a right to earn in or have a buy out option on each property," he said.

Gryphon Expects More Nevada-Based Deals Soon

The deal also means the Nevada Eagle owner, Jerry Baughman, will join Gryphon as vice-president, corporate development. That's another way of saying: Expect more mergers and acquisitions.

"We're hoping for deals within the next six to nine months - all Nevada based targets," Ker said. (Baughman's) abilty to bring deals to us and acquire more properties, coupled with our talents as geologists and publicly-listed administrators, will leverage his capabilities."

The Nevada Eagle deal complements Gryphon's flagship Nevada play, its Borealis property, which has a measured and indicated resource of 1.2 million ounces of gold as well as an inferred resource of 600,000 ounces. Average grade: 0.025 ounces per ton.

"This is our core business, so will continue to focus on the property and to grow more the value and volume of ounces in the ground," Ker said.

He said AMEC PLC (AMEC) is currently reworking all the resource calculations, including data from a drilling program which ended in July. A report will be released in September, in part to outline the ways and means of adding more oxide-based gold ounces on the property.

"If we can add an additional 100,000 oxide ounces, we would be in a position to go forward, if warranted, with a small oxide mine on that property," Ker said.

Gryphon's M&A overtures are simply part of the larger consolidation picture in Nevada.

Fronteer Development Group Inc. (FRG) is in the process of taking over Denver- based explorer NewWest Gold Corp. (NWG.T) in an all-share deal. And Vista Gold Corp. (VGZ) recently placed its existing gold projects - together with a newly- acquired land package - into a new company called Allied Nevada Gold Corp. (ANV) , which recently tapped the private placement market for US$17 million to develop its Hycroft mine in Nevada.

Other active explorers in Nevada include: Grandview Gold Inc. (GVGDF), which announced a C$3.44 million financing in July, in part to continue its Nevada drilling program; Columbus Gold Corp. (CGT.V), which has 20 Nevada-based gold properties and recently entered into a US$3 million joint venture agreement with Agnico Eagle Mines Ltd. (AEM), to explore its Summit project; Miranda Gold Corp. (MAD.V), which has a number of Nevada-based joint ventures, including a $3 million deal with Romarco Minerals Inc. (R.V) to explore its Red Canyon property along the Cortex trend; and Klondex Mines Ltd. (KDX.V), which is focused on its Fire Creek property in north-central Nevada.

"There are lots of small juniors in Nevada and the opportuity for consolidation is there, " Ker said, adding that the financing landscape for juniors becomes markedly easier with each new merger or acquisition. "When a $40 million dollar company is doing a $5 million to $10 million financing, it cuts out a huge segment of the companies that can invest; there are a lot of funds out there that won't look at a company unless it has a $150 million market cap."

He said the only way a company can tap this portion of the investment market is to consolidate a couple of juniors that are in the $20 million to $60 million market cap range.

Gryphon's market cap is hovering around $44 million, meaning it "would have to triple its market cap size" to tap the higher end of the investment community, Ker said.

For the moment, the U.S. registered gold explorer is intent on ramping up its share price to $2-plus - the threshold for companies wanting to list on the American Stock and Options Exchange (AMEX).

"If we could get listed on AMEX, we would be a good play for U.S. investors and could see a 20% to 25% improvement in liquidity or higher, " Ker said. "But, again, that means we have to bring up our market cap - and that's our longer term goal."

Die VIT CAT BVG und die MAD sind bereits stark vertreten, ich glaube ich habe sie alle.

Ich denke da an die Zeiten wo der Rand unten war und die RSA Aktien oben waren soviel Profit die machten.

Irgendeiner wird schon fuendig oder geschluckt werden.

Als Flagschiffe die VGZ ANV UXG RGLD AEM passt schon.

Die NEM und GG erwaehne ich gar nicht.

Ich tanze an der Klippe, das Geld holte ich mir wieder von Oilaktien die ich verkaufte.

Wenn ich da an eine Aktie wie die WEL denke dann wird mir schlecht.

Bei Solar brennt mir der Arsch, alle diese Bereiche waren ein Flop.

Und die Sonne lacht in Nevada auch.

Gerne haette ich auch SST.V heute gekauft.

Bei WEL bin ich mit noch leichtem gewinn raus.
Solaraktien schon länger, die letzte war Evergreen.
Aber da steig ich wieder ein......., aber noch nicht so bald.

Die Admiral bay ist auch komplett abgeschmiert, die hab ich auch schon geliefert bei 0,68 mit Verlust.
Clifton kann wenigstens nicht Pleite gehen.....weil die kriegen jährlich so 6 bis 8 Mille durch die Beteiligung.
Aber hätt ich auch nicht Not gehabt...

Über die Erfreulichen dann ein anderes Mal.....

Dieser Hammer war es ja, wonach Mc Ewen gesucht hat.

Also bei VIT sollte man versuchsweise schon vor der nächsten news dabei sein.
Und die kommt bals. Diesmal Black Canyon.
Aber der Hammer könnte Cove mc Coy sein.
