  • First Majestic Resource Corp.: Acquisition of DESMIN Closing
    05.10.06 16:14

VANCOUVER, BRITISH COLUMBIA, Oct 05 (MARKET WIRE) --
FIRST MAJESTIC RESOURCE CORP. (TSX VENTURE: FR)(PINK SHEETS: FMJRF)(FWB:
905910) (the "Company") is pleased to announce that further to its news
release dated August 31, 2006 the company has now completed its
due-diligence of DESMIN. As previously announced the company signed a
Letter Agreement to acquire 100% of the issued and outstanding shares of
Desmin S.A. de C. V. ("Desmin"), a privately held Mexican mining company.

Desmin\'s primary asset is an exploitation contract with Penoles which
covers the operations of La Encantada Silver Mine located at the Coahuila
State in Mexico. The exploitation contract between Desmin and Penoles
gives Desmin the right to all properties within the 700 hectare land
package, including the operations of the mine and mill and all the
auxiliary installations and associated equipment. It has been agreed that
the Company will pay US$1.5million for all the issued and outstanding
shares of Desmin resulting in Desmin becoming a wholly owned subsidiary
    of the Company.

The due diligence that included financial, legal, geological and
engineering reviews has now been completed. No material issues of concern
were discovered during this process. Therefore, the Company has agreed to
close the acquisition of DESMIN for the agreed purchase price consisting
of three equal payments of US$500,000. The first payment will be due on
closing, the second will be due on the 3 month anniversary and the 3rd
and final payment will be due on the six month anniversary. Closing is
anticipated to complete within three to four weeks.

The La Encantada Silver Mine is presently producing 800,000 ounces of
silver per year. The mill, which has a total capacity of 800 tpd, is
processing 250 tpd of oxide ore grading 500 gpt Ag, which represents less
then 40% capacity of the mill. The Company anticipates that these
production numbers can be improved significantly over the coming months.
In addition, the surrounding ground of 700 hectares represents excellent
exploration and development potential with several areas of immediate
    interest already defined.

First Majestic is a producing silver company focused in Mexico and is
aggressively pursuing its business plan to become a mid-tier silver
producer through development of its existing assets and the pursuit
through acquisition of additional assets that make sense to achieving its
    corporate objective.

  • Corporate Update

    --------------------------------------------------------------------------------

FIRST MAJESTIC RESOURCE CORP. (FR-V) (the "Company") announces a corporate progress update on its activities.

As previously reported on September 15, 2006, construction of the new 800 tpd mill at the La Parrilla Silver Mine is nearing completion. Construction of this much larger mill facility began earlier this year and was scheduled to be brought on line in September and October. The Company is pleased to announce that the first of two 400 tpd lines has been brought online successfully. All testing procedures went well and production through this new mill has commenced. The second 400 tpd line is anticipated to be brought online towards the end of October bringing total mine and mill production up to 800 tpd.

Ongoing resource development is continuing at a rapid pace with the addition of a fifth drill rig at the La Parrilla property. This fifth drill rig will be focussing on upgrading the historic resource at the Quebradillas and Viboras Silver Mines as previously reported on August 28, 2006. A total of 94 holes have now been completed within this large 3400 hectare property. The main focus has primarily been on the large vein systems of La Rosa/Los Rosarios, San Marcos, San José, and San Nicolás areas. It is anticipated that an updated 43-101 resource calculation will be available prior to year end.

At the Chalchihuites Group of Properties, exploration and development is also ongoing and has defined the existence of high grade silver mineralization within the San Juan, and Perseverancia Silver Mines. This program which commenced in January has justified additional efforts, both with direct mine openings and additional diamond drilling. A 200 metre decline ramp is being completed in order to access the old San Juan mine and additional diamond drilling is being done at both mines including underground drilling at the Perseverancia. It is planned that production from these two mines will be direct shipped to the mill at La Parrilla.

The San Martin Silver Mine continues production at 800 tpd with an annualized production of 2 million ounces of silver. To date, several measures have been taken in order to reduce overhead costs and a number of improvements have been made within the mine and mill. Underground development at the main Zuloaga vein and at the Condesa-Rosarios system is underway. In addition, four diamond drill rigs will commence to advance further resource development and assist in regional exploration.

At the Candamena Mining District, drilling has commenced at the old La Verde Silver Mine. The road into the project was completed over the summer and one diamond drill rig arrived on site at the end of September. A second drill rig is arriving within the next few weeks. It is anticipated ten diamond drill holes will be completed to test the depth and length extension of the high grade silver vein system historically mined. The La Verde -- La Prieta system is a silver bearing vein measuring more than 5 kms in length and is well known for its historic high grade silver mining activity.

Management of First Majestic would also like to take this opportunity to comment on the recent share price activity. Management feels strongly that the recent share price decline is unwarranted and presently does not represent fair value for the Company. In these types of cases, management of public companies are put in a difficult position to try to explain such dramatic moves, but can only speculate on the motives of market participants. Nevertheless, management of First Majestic are maintaining the Company's strategy of continued growth through an aggressive acquisition and development campaign designed to dramatically grow the Company's silver production going forward.

First Majestic is a producing silver company focused in Mexico and is aggressively pursuing its business plan to become a major silver producer through development of its existing assets and the pursuit through acquisition of additional assets that make sense to achieving its corporate objective.

  • Hallo Lenz,
    eine relativ einfache geschichte.

    FR macht PP.

    zwyss,
    ich glaub, es geht schon.
    Man braucht halt einen US-Broker.
    e-trade oder
    interactive brokers

  • First Majestic Silver Corp.: Acquisition of La Encantada Silver Mine
Thursday December 21, 9:55 am ET

VANCOUVER, BRITISH COLUMBIA--(MARKET WIRE)--Dec 21, 2006 -- FIRST MAJESTIC SILVER CORP. (TSX VENTURE:FR.V - News)(Other OTC:FRMSF.PK - News)(FWB: FMV) (WKN: A0LHKJ) (the "Company") is pleased to announce that further to its news release dated October 4, 2006 the Company has now signed a Letter Agreement to acquire 100% of the issued and outstanding shares of Minera La Encantada S.A. de C. V. ("La Encantada"), a Mexican mining company owned by Minas Penoles SA de CV and Industrias Penoles SA de CV (collectively "Penoles").

La Encantada's primary asset is the La Encantada Silver Mine located in northern part of Mexico in the Coahuila State. This mine has at least 50 years of mining history and has been operated by Penoles from the early 1970's to 2003 when Desmin S.A. de C. V. ("Desmin") took over operations.

The La Encantada Silver Mine is presently producing 800,000 ounces of silver per year. The mill, which has a total capacity of 800 tpd, is processing 250 tpd of oxide ore grading 500 gpt Ag, which represents less then 40% capacity of the mill. The Company anticipates that these production numbers can be improved significantly over the coming months. In addition, the surrounding ground of 700 hectares represents excellent exploration and development potential with several areas of immediate interest already defined. The company has recently acquired through staking additional mining claims of 3,100 hectares surrounding the property and covering areas of geological interest.

The Letter Agreement dated December 18, 2006 allows the Company the right to purchase 100% of the issued and outstanding shares of Minera La Encantada S.A. de C.V. for total purchase price of US$3,250,000 and a NSR royalty of 4%. An initial payment of US$1,000,000.00 was paid on signing of the Letter Agreement. The balance of US$2,250,000 will be paid on closing which is anticipated on or before March 15, 2007.

As part of the Letter Agreement, the Company has also agreed to buy-out the 4% royalty to zero at an additional cost of US$1,500,000 in common shares and warrants. The shares and warrants were priced on the date of signing, thus, the agreement calls for the issuance of 382,582 shares and 191,291 warrants. Each warrant entitles Penoles to purchase one additional share at a price of $6.81 for a period of two years. The agreement remains subject to regulatory approval.

The Company's wholly owned subsidiary, ("Desmin") which was acquired on November 1, 2006, has an exploitation contract with La Encantada paying an ongoing scaling royalty to operate the mine. As a result of this purchase all royalties will be cancelled at closing on or before March 15th, 2007.

In the event that the Company is unable to obtain regulatory approval to the payment of shares and warrants, the Company will pay a 4% NSR royalty on all metals produced at the La Encantada.

With the acquisition of Desmin previously announced on October 4th, 2006 and with the signing of this Letter Agreement, the Company now has full control of the La Encantada Silver Mine, which is the Company's third producing silver mine.

First Majestic is a producing silver company focused in Mexico and is aggressively pursuing its business plan to become a senior silver producer through development of its existing assets and the pursuit through acquisition of additional assets that make sense to achieving its corporate objective.
